1. About Songsi
Songsi is an interactive music engagement, artist discovery, booking, and technology platform operated by PassionFlower Marketing, LLC ("Songsi," "we," "us," "our"). These Terms of Use ("Terms") govern your access to and use of Songsi's websites, mobile applications, and related services (the "Services"). Songsi is not a music streaming service and does not stream, distribute, or deliver recorded music to fans through the Services. Songsi Live and related features facilitate interactive engagement around live performances that are independently controlled by the performing artist.
2. Eligibility and Accounts
Songsi accounts and paid platform participation — including paid song requests, boosts, tips, dedications, artist payouts, and booking features — are limited to individuals who are at least 18 years old. You must affirmatively confirm that you are 18 or older during account creation, and you must also meet the age of majority in your jurisdiction if it is higher than 18. Songsi is not directed to and is not intended for anyone under 18, and we do not knowingly permit minors to create accounts or transact on the platform. You are responsible for maintaining the accuracy of your account information and the security of your login credentials. You are responsible for all activity that occurs under your account. When you create a Songsi account, complete a paid checkout, or otherwise affirmatively accept these Terms in the Services, you agree to be bound by these Terms and any account-specific terms applicable to you (for example, the Artist Terms, Business & Venue Terms, Booking Terms, or Payment & Payout Terms).
3. How Songsi Works
Songsi is a marketplace and technology platform that connects fans with participating artists. Fans may discover artists, submit paid song requests, boosts, dedications, and tips, and book artists for performances. Businesses, venues, communities, and event operators may use Songsi features to enable interactive engagement at their locations or events. Artists independently control their available song catalog, pricing, availability, set list, and all live performance decisions. Songsi does not perform music, does not direct artist performances, and does not guarantee that any particular request will be accepted or performed.
4. Payments and Fees
Songsi may collect payments from fans through a third-party payment processor (for example, Stripe). From each eligible transaction, Songsi deducts a disclosed Songsi platform fee and applicable payment processing fees, and allocates the remaining eligible proceeds to the applicable artist or other eligible participant in accordance with the Payment & Payout Terms. Applicable fees are disclosed at the time of purchase or in the applicable pricing terms.
Certain interactive features (such as boosts) may affect the relative ordering of requests within a queue as specified in the applicable feature description. Except where a Songsi feature expressly provides a specific priority or ordering benefit, payment does not guarantee any particular performance time, queue position, or that a requested song will be performed. 5. Declined, Unfulfilled, and Refunded Requests
Artists may accept, decline, skip, or reorder requests in their sole discretion consistent with their set and performance decisions. If a paid song request is not performed during the applicable Songsi Live Session (whether the artist skipped it during the set or it remained in the queue when the session ended), Songsi will notify the fan and present the fan with two explicit options: (a) "Support the Artist Instead," under which Songsi refunds the unfulfilled request payment and separately invites the fan to authorize a new, voluntary tip transaction to the artist, or (b) "Refund My Request," under which Songsi refunds the unfulfilled request payment to the fan's original payment method. The fan must affirmatively select an option; Songsi does not automatically create a tip.
If the fan does not make a selection within twenty-four (24) hours after being presented with the choice, Songsi will automatically initiate a refund to the fan's original payment method. Songsi platform fees and the Artist's request earnings are not retained on refunded requests. Where a fan affirmatively selects "Support the Artist Instead," the refund to the fan's original payment method is processed on the original request, and the follow-on tip is a separate, voluntary transaction authorized by the fan under Songsi's applicable tip and platform fee rules. If the fan abandons the tip authorization, the refund still stands.
Tips are voluntary payments to the artist, are not conditioned on the performance of any specific song, and are generally nonrefundable except where required by applicable law. Songsi does not refund voluntary tips based on artist set choices or the non-performance of a specific song.
6. User Conduct
You agree not to use Songsi to submit unlawful, harassing, hateful, defamatory, or infringing content; to interfere with the Services; to circumvent fees; or to impersonate another person. See the Community Guidelines for additional expectations.
7. Content and Limited License
You retain ownership of the original photos, videos, audio, text, artwork, biographies, dedications, and other content you upload ("User Content"), including artist profile and promotional materials. You grant Songsi a limited, worldwide, non-exclusive, royalty-free license to host, store, cache, display, technically process, reformat for display, and index the User Content solely as reasonably necessary to operate, provide, and secure the Services and to display the content to the audiences you have chosen inside Songsi.
By uploading User Content, you represent and warrant that you own the content or have all necessary rights, permissions, licenses, and releases to upload and share it, and that the content does not infringe any third party's copyright, trademark, publicity, privacy, or other rights.
External marketing and paid ads require separate, per-piece consent. The operating license above does not give Songsi the right to use your User Content in paid advertising, third-party marketing channels, off-platform promotional campaigns, out-of-home media, press features, or similar external marketing use. Before Songsi uses a specific piece of your User Content for any of those purposes, Songsi must request and receive your separate affirmative consent for that specific piece of content. Consent is off by default, is captured per piece, and can be revoked at any time in Settings → Promotional Consents. For clarity, nothing in these Terms grants Songsi any music publishing, songwriting, master recording, sound recording, mechanical, synchronization, public performance, broadcast, or music distribution rights in any musical composition or sound recording. Any such rights, if any, must be granted, if at all, only under a separate written agreement signed by Songsi.
8. Songsi Live, Live Performances, and Music Licensing
Songsi Live is an interactive engagement layer that runs alongside live performances that are independently controlled by the performing artist. Songsi Live is not a music streaming service, does not deliver recorded music to fans, and does not select, sequence, or perform music on behalf of the artist. Venues, businesses, communities, and event operators are responsible for obtaining and maintaining any music, public performance, or other licenses required for music performed or played at their locations or events.
Songsi may offer optional integrations with third-party music services (for example, Artist Airplay playback or catalog lookup providers). Any such third-party integration is provided as a convenience only and is subject to that provider's own terms, permissions, availability, and to all music licensing requirements applicable to the operator using the integration. Songsi does not grant or convey any music rights through these integrations. See the Music & Licensing Notice for additional detail.
9. Third-Party Services
The Services may integrate with third-party services (for example, payment, streaming, mapping, or authentication providers). Your use of those services is subject to their own terms and privacy policies.
10. Disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by law, Songsi disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Songsi and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues arising out of your use of the Services.
12. Termination
We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. You may stop using the Services at any time.
13. Governing Law, Dispute Resolution, Arbitration, Class Action Waiver, and Venue

14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Services or by other reasonable means. Your continued use of the Services after changes take effect constitutes acceptance.

16. Promotions — Welcome New Fans (Your First Song's On Us)
The "Welcome New Fans" promotion ("Your First Song's On Us") is a joint promotional offering by Songsi and participating artists. The following rules govern participation:
- Eligibility. One complimentary standard song-request credit is granted to each new, verified Songsi fan account after email verification and any additional anti-abuse checks Songsi deems necessary. Songsi may refuse or revoke credits it reasonably believes were obtained through fraud, duplicate accounts, disposable email services, automation, or other abuse.
- Redemption. The credit may only be redeemed with a participating artist who has enabled the "Welcome New Fans" setting. Artists must explicitly opt in and may opt out at any time.
- One per fan. The credit is limited to one (1) complimentary first-request per eligible fan account, across all participating artists on Songsi — not one per artist.
- Scope of the credit. The credit applies only to a standard song request at the base request price. It cannot be used for or combined with tips, boosts, dedications, bookings, seat-based or premium features, or any other paid upgrade. It has no cash value, is non-transferable, and cannot be exchanged, refunded, or redeemed for cash.
- No revenue, no payout. A complimentary request generates $0 in artist earnings and $0 in Songsi platform revenue, and no payment-processor transaction is created for a fully complimentary request. The request otherwise enters the active queue as a normal standard request and remains eligible to be outbid by paid boosts. Fans may send paid tips after the request.
- Anti-abuse. Songsi may apply rate limits, device / network signals, disposable-email deny lists, and other technical controls to prevent abuse. Attempted circumvention (including multiple accounts) may result in revocation of credits and suspension of the underlying accounts.
- Modification. Songsi may modify, suspend, or terminate the promotion at any time. Changes will not affect complimentary requests already accepted into an artist's queue.
17. Fraud Prevention and Account Integrity
Songsi operates an internal fraud-prevention program to protect fans, artists, businesses, and the integrity of the platform. Songsi may use account, verified contact, coarse network and session, transaction, promotional-history, and activity signals to detect fake accounts, duplicate profiles, promotional-credit abuse, payment abuse, artificial boosting, fake artist engagement, and manipulation of Songsi queues or analytics. Songsi uses these signals only for security, fraud prevention, account integrity, promotional-abuse prevention, and platform integrity — never for advertising targeting, and Songsi does not sell or share them with advertisers.
Multiple legitimate users may share a household, venue Wi-Fi, community Wi-Fi, or device. A shared network or device alone will not result in an automatic permanent ban. Where risk signals combine to indicate likely abuse, Songsi may hold, deny, or reverse promotional credits, temporarily restrict features, refer the account to internal review, or suspend the account. Songsi also logs fraud-related decisions and administrator actions for audit purposes.
